1. Parties & Acceptance

By registering as an affiliate, you enter an agreement with AAU Digital Connect Sdn Bhd ("the Platform") governed by Malaysian law. You represent that you are at least 18 years old and legally capable of entering this agreement.

2. Commission Structure

You earn commission on every subscription payment received from a new club that you refer via your unique referral link, for a period of twelve (12) months from the club's first paid subscription invoice.

The default commission rate is 15% and may be varied by the Platform in writing for individual affiliates. Rate changes do not apply retroactively to existing referrals.

3. Attribution

Referrals are tracked by a 60-day first-touch cookie. If a visitor arrives with another affiliate's code first, that affiliate receives credit. Self-referrals are voided.

4. Payout

Commissions move from PENDING to APPROVED status 30 days after they are earned (to absorb refund windows). Approved commissions are paid via bank transfer in monthly batches once you accumulate RM 100 or more and have passed KYC verification.

5. Prohibited Practices

• Sending unsolicited bulk email, SMS, or WhatsApp messages.
• Paid search ads using the Platform's trademarks or close variants.
• False or misleading claims about the Platform's capabilities, pricing, or endorsements.
• Self-referral, family referral, or any form of artificial conversion.
• Impersonating Platform staff, coaches, or partners.

6. Disclosure

You must clearly disclose that you'll earn a commission when promoting, in accordance with advertising standards.

7. Reversal & Clawback

If a payment on which you earned commission is refunded or charged back, the commission is reversed. Reversed amounts may be deducted from your next payout.

8. Tax

You are solely responsible for declaring commission income to LHDN. The Platform does not withhold income tax and does not issue EA forms.

9. Suspension & Termination

The Platform may suspend or terminate your affiliate account at any time for breach of these terms or fraud. Terminated accounts forfeit pending commissions. Approved commissions accrued before a lawful termination will be paid in the next batch.

10. Data

You consent to the collection and storage of your identification documents, bank details, and promotional activity for the purpose of operating this program and complying with Malaysian AML/PDPA requirements.

11. Governing Law

This agreement is governed by the laws of Malaysia. Disputes are subject to the exclusive jurisdiction of the Malaysian courts.

12. Amendments

The Platform may update these terms with 30 days' notice via email. Continuing to use your referral link after the notice period constitutes acceptance.
